1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of Rankuro, a service operated by POSITIVEREADS LLC ("Company," "Service," "we," "us," or "our"), accessible at rankuro.com.

By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy (included below).

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Rankuro is an AI-powered SEO automation platform that provides:

  • Automated keyword research and discovery
  • Content strategy and topical authority planning
  • AI-generated SEO-optimized articles
  • Auto-publishing to WordPress, Webflow, and other CMS platforms
  • Google Search Console integration
  • SEO analytics and reporting

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized access at alex@rankuro.com.

4. Subscription and Pricing

4.1 Subscription Plans

The Service is offered on a subscription basis at the pricing displayed on our website.

4.2 Billing

Subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis through our payment processor, Stripe.

4.3 Price Changes

We may modify pricing at any time. Price changes will not affect your current billing period. We will notify you at least 30 days before any price increase takes effect on your account.

4.4 Taxes

Prices exclude applicable taxes. You are responsible for any taxes associated with your subscription.

5. License and Usage Rights

5.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

5.2 Content Ownership

  • Your Content: You retain ownership of all content you upload, create, or publish through the Service.
  • AI-Generated Content: Content generated by our AI tools for your account belongs to you once created.
  • Our Service: We retain all rights to the Service, software, algorithms, and proprietary technology.

5.3 Restrictions

You may not:

  • Resell, sublicense, or redistribute access to the Service without authorization
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service to develop a competing product
  • Share your account credentials with others
  • Use automated tools to access the Service without authorization
  • Exceed usage limits or circumvent technical restrictions

6. Acceptable Use

You agree not to use the Service to:

  • Violate any laws or regulations
  • Generate content that is illegal, defamatory, or infringes third-party rights
  • Distribute malware, spam, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with the Service's operation or other users' access
  • Generate content for websites promoting illegal activities

7. Third-Party Integrations

7.1 Connected Platforms

When you connect WordPress, Webflow, Google Search Console, or other platforms, you authorize us to access and interact with those services on your behalf.

7.2 Third-Party Terms

Your use of third-party platforms is subject to their respective terms of service. We are not responsible for third-party services.

8. Intellectual Property

8.1 Service IP

The Service, including all software, algorithms, designs, trademarks, and content, is our exclusive property and is protected by intellectual property laws.

8.2 Feedback

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use and incorporate such feedback into the Service.

9. Refund and Cancellation Policy

9.1 Free Trial

We may offer a free trial period. No payment is required during the trial period. If you do not cancel before the trial ends, your subscription will begin and your payment method will be charged.

9.2 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting us at alex@rankuro.com.

  • Cancellation takes effect at the end of your current billing period
  • You will retain access to the Service until the end of your paid period
  • No partial refunds are provided for unused time within a billing period

9.3 Refund Policy

Within 14 Days of First Payment: If you are not satisfied with the Service, you may request a full refund within 14 days of your first subscription payment. To request a refund, email alex@rankuro.com with your account details and reason for the request.

After 14 Days: Refunds are not available after the 14-day period. You may cancel your subscription at any time to prevent future charges.

Exceptions: Refunds may be denied if:

  • You have violated these Terms of Service
  • You have used a significant portion of the Service (e.g., generated more than 10 articles)
  • You have received a refund previously

9.4 How to Request a Refund

Send an email to alex@rankuro.com including:

  • Your account email address
  • Date of purchase
  • Reason for refund request

We will respond within 5 business days. Approved refunds are processed within 7-10 business days to your original payment method.

9.5 Account Termination by Us

We reserve the right to suspend or terminate your account for violation of these Terms. In cases of termination for cause, no refund will be provided.

10. Disclaimers

10.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

10.2 No Guarantee of Results

We do not guarantee specific SEO results, rankings, or traffic increases. Results depend on many factors including your industry, competition, content quality, and implementation.

10.3 AI-Generated Content

AI-generated content should be reviewed before publication. We are not responsible for the accuracy, completeness, or suitability of AI-generated content.

11. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for loss of data, revenue, profits, or business opportunities

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you create, upload, or publish through the Service

13. Modifications to Service and Terms

13.1 Service Changes

We may modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes.

13.2 Terms Changes

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Termination

You may terminate your account at any time by canceling your subscription and contacting us.

14.2 By Us

We may terminate or suspend your account immediately for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment
  • Extended inactivity

14.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • We may delete your account data after 30 days
  • Provisions that should survive termination will remain in effect

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New Mexico, USA. Any disputes shall be resolved in the courts of New Mexico.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Rankuro.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

16.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any successor.
